Item 4 — Advisory Business

Razzano Consulting, LLC d/b/a Razzano Investment Management (“RIM” or the “Adviser”) provides investment advisory services for an asset-based fee to individuals and certain business entities. The Adviser transacts business only in those states in which it is properly registered, notice-filed, excluded, or exempt from registration.

Razzano Consulting, LLC was founded in October 2005. Razzano Investment Management was launched as a division of Razzano Consulting, LLC on February 25, 2011. The Adviser is solely owned by Anthony J. Razzano. The Adviser operates on a 100% non-discretionary basis. Clients retain full authority to make investment decisions; the Adviser will not execute transactions without the client’s prior approval.

Item 5 — Fees and Compensation

The Adviser charges an annual asset-based advisory fee generally equal to 1.00% of assets under management, billed quarterly in arrears at 0.25% per quarter. The advisory fee does not include custodian fees, brokerage commissions, transaction charges, or the internal expenses of mutual funds, ETFs, and other pooled investment vehicles. Clients bear these costs, which will reduce returns.

The Adviser does not receive commissions from the sale of securities in connection with advisory services. Certain supervised persons may be licensed as insurance agents and may recommend fixed and fixed indexed insurance and annuity products in a separate, non-advisory capacity and receive commission-based compensation from the sale of those products. Clients are under no obligation to implement any recommendation through the supervised person and may use the insurance agent of their choosing. Variable annuities and variable life insurance products are not offered.

Item 6 — Performance-Based Fees

The Adviser does not charge performance-based fees and does not engage in side-by-side management of performance fee accounts.

Item 8 — Methods of Analysis, Investment Strategies, and Risk of Loss

The Adviser uses a variety of methods including fundamental analysis, asset allocation, diversification, tax-aware planning, and periodic portfolio rebalancing. Investing involves risk of loss, including the possible loss of principal. The Adviser does not guarantee any investment outcome, performance, or that any investment objective will be achieved.

Item 9 — Disciplinary Information

The Adviser and its management persons have not been involved in any legal or disciplinary events that are material to a client’s evaluation of the Adviser’s advisory business or the integrity of its management.

Item 10 — Other Financial Industry Activities and Affiliations

Accounting Services. Razzano Consulting, LLC also operates an accounting and tax practice (d/b/a Lakewood Ranch Tax Advisors) that provides tax compliance, tax planning, bookkeeping, and other accounting services. Clients may engage the Adviser for tax services, investment advisory services, or both. This dual role may create a conflict of interest. The Adviser addresses this conflict by disclosing the relationship, allowing clients to select any service provider, and providing advice consistent with the client’s best interest.

Insurance/Annuity Products. A supervised person of the Adviser is licensed as an insurance agent and may recommend life insurance and fixed or fixed indexed annuities regulated by state insurance regulators. The Adviser does not offer variable annuities or variable life insurance products. When acting in an insurance capacity, the supervised person may receive commissions from the issuing insurance company. The Adviser seeks to mitigate this conflict by: (i) disclosing the commission arrangement; (ii) not charging advisory fees on amounts used to purchase insurance products (no “double-dipping”); (iii) confirming that clients are under no obligation to purchase insurance through the Adviser; and (iv) making recommendations based on the client’s needs and objectives.

Item 12 — Brokerage Practices

The Adviser generally recommends that client accounts be maintained with Charles Schwab & Co., Inc. (“Schwab”), an independent qualified custodian and broker-dealer. The Adviser does not receive soft dollar benefits in connection with client securities transactions. The Adviser operates on a 100% non-discretionary basis and does not block or aggregate trades.

Item 15 — Custody

The Adviser does not maintain custody of client funds or securities. Client assets are maintained with a qualified custodian. Clients will receive account statements directly from the custodian and should carefully review those statements.

Item 16 — Investment Discretion

The Adviser provides services on a 100% non-discretionary basis and does not accept discretionary trading authority. Clients must approve recommended transactions before they are placed.

Item 17 — Voting Client Securities

The Adviser does not accept authority to vote client securities. Clients retain the responsibility to vote their proxies and will receive them directly from the custodian or transfer agent.

Mr. Razzano receives additional income from Razzano Consulting, LLC for accounting and tax-related services. Mr. Razzano is also licensed as an insurance agent and may receive commissions from the sale of life insurance and fixed or fixed indexed annuities in a separate, non-advisory capacity. The Adviser does not offer variable annuities or variable life insurance products. Clients may use the insurance provider or agent of their choosing.
